What is the Role:
DTEX is seeking a highly skilled and business-savvy Commercial Counsel to support our fast-growing SaaS organization.  The ideal candidate will have a strong background in contract negotiation, drafting and review with a focus on revenue and procurement contracts.  This role will be key in ensuring our business and legal objectives are met while mitigating risk.  The ideal candidate will have experience working cross functionally with sales, marketing, product, security and finance and will be excited to act as an advisor to various business units across the organization.

What You Will Do:
  • Draft, review, and negotiate complex commercial contracts including MSAs, SaaS agreements, On Premise agreements, NDAs, Partner agreements, and procurement/vendor agreements.
  • Serve as primary point of contact for coordinating and driving follow-up on all cross functional inquiries related to contract review, ensuring timely resolution and alignment across internal stakeholders.
  • Own the review of existing contracts to identify and flag non – standard terms, assess legal and commercial risks, and recommend necessary revisions to align with company standards.
  • Proactively improve the speed and efficiency of the sales cycle and enterprise deal processes without compromising risk mitigation.
  • Identify potential legal risks and liabilities and provide strategic guidance to senior management to mitigate them.
  • Support and advise on corporate governance including compliance with federal and state regulations.
  • Offer proactive legal advice to internal departments, including finance, marketing, HR, and operations, to ensure legal compliance and minimize risks.
  • Collaborate with outside counsel relationships as needed.
  • Monitor and ensure compliance with evolving regulatory and industry standards.
  • Support intellectual property protection and licensing.
  • Conduct legal research on emerging legal issues and industry-specific trends that may impact the company
  • Assist with due diligence and legal aspects of M&A transactions as needed.
We are looking for you if you have/are:
  • Juris Doctor (JD) degree from an accredited law school.
  • Active license to practice law and in good standing with a state bar.
  • 5+ years’ experience in complex, enterprise software (SaaS/Cloud and / or on-premise software) contract negotiations, and a successful track record supporting sales professionals.
  • Strong business acumen; able to weigh risk pragmatically and partner with GTM, finance, security and product teams to drive results.
  • Excellent negotiation, drafting, and communication skills.
  • Business-oriented with a strong ability to pragmatically balance risk and organizational needs.
  • Experience with international contracts and cross-border legal issues.
  • Experience working in a fast-paced startup or scaling tech environment.
  • Meaningful experience and subject matter knowledge in key areas like software licensing, information security, and key contract provisions like indemnification, warranties, SLAs, etc.
  • Experience with Federal Government Contracting
  • Experience in Tech / Healthcare & Finance industries a plus
  • Experience with Data Privacy and Cybersecurity compliance frameworks a plus
